Company Secretary Role
About the role
As Company Secretary you will play a crucial role in supporting The Earthshot Prize’s mission to create urgent optimism in support of action to combat climate change. You will work closely with the Board of Trustees, TEP Management and all teams across the charity contributing your expertise to ensure contract compliance, appropriate risk management and good governance.
This role reports to the CEO and works in close partnership with our Management team – a highly motivated and multi-disciplinary team, with a varying degree of experience working within charities, and with a board.
Company Secretary
Work with the Chair and Vice Chair on all aspects of governance:
- Manage governance quarterly board meetings, monthly board calls and committee meetings
- Work with the Vice Chair and Chief of Staff on board agenda and support senior leadership team to produce quality board papers
- Attend board meetings and produce minutes
- Ensure compliance with charity and regulatory law including financial regulatory compliance in multiple jurisdictions and manage filings and record-keeping
- Maintain action tracker and ensure all actions are completed
- Provision of a full meeting administrative service and support to the Group Board and its Board committees, including the preparation of agendas, meeting packs, annual agenda frameworks, minutes and follow up actions
- Providing support to other Board and Committee meetings, as required by the business, to include providing guidance and training to colleagues charged with responsibility for supporting meetings
- Support the Chair, Executive, Board of Trustees and board committees as required
Governance & compliance
- To support the development and implementation of an internal governance framework
- To support the evaluation and effectiveness of the internal governance framework on an on-going basis
- To develop, implement and maintain an Accountabilities and Delegated Authorities Mandate (ADMR) structure.
- To maintain the Board policy framework
- To uphold statutory & legal compliance with the Companies Act 2006, the Charity Commission and other global statutory instruments where required
Board support
In addition to the full administrative board support noted above:
- In conjunction with stakeholders and the internal team, organise Trustee appointment letters
- Design and implement, in partnership with Trustees:
- Board Induction and on-going support
- Board training
- Board evaluation process

Qualifications:
- Company secretary experience
- Legal experience an advantage
- Familiarity with broadcast rights, charity law and governance are a benefit
